CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into between the undersigned party ("Receiving Party") and the Seller listed on PasaloHub PH ("Disclosing Party"), effective upon digital signature below.

1. CONFIDENTIAL INFORMATION. The Receiving Party acknowledges that they may receive non-public information regarding the business listing on PasaloHub PH, including but not limited to: financial statements, revenue records, customer data, operational details, and asking price details ("Confidential Information").

2. NON-DISCLOSURE OBLIGATIONS. The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose, reproduce, or transmit any Confidential Information to any third party without prior written consent of the Disclosing Party; (c) use the Confidential Information solely for the purpose of evaluating the potential acquisition of the business.

3. TERM. This Agreement shall remain in effect for a period of two (2) years from the date of signature.

4. GOVERNING LAW. This Agreement shall be governed by the laws of the Republic of the Philippines.

5. ACKNOWLEDGEMENT. The Receiving Party acknowledges that breach of this Agreement may cause irreparable harm and agrees that PasaloHub PH and the Disclosing Party may seek injunctive relief in addition to other remedies available under Philippine law.
