Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of PasaloHub PH (the "Platform", "we", "us"), a Philippine online marketplace that connects owners of micro, small, and medium enterprises ("MSMEs") who want to sell or pass on a business with people looking to buy one. By creating an account, posting a listing, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use PasaloHub PH.
1Acceptance of terms
By registering for an account, checking the agreement box at signup, or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines we post on the Platform (such as listing or content standards). We may update these Terms from time to time as described in Section 16.
2What PasaloHub is — and isn't
PasaloHub PH is a listing and introduction marketplace. We give sellers a place to describe a business for sale and give buyers a way to discover, message, and evaluate that business. That is the extent of our role.
- We are not a party to any sale, transfer, lease, or other transaction between a buyer and a seller.
- We do not hold, transmit, or escrow funds on behalf of any user, and we do not process payments between buyers and sellers.
- We are not a broker, dealer, appraiser, accountant, or law firm, and nothing on the Platform — including our legal transfer guides, available to signed-in users from the dashboard — is legal, tax, or financial advice. Those guides are educational summaries of public government procedures (DTI, SEC, BIR, LGU) and may change without notice; always confirm current requirements with the relevant agency or your own advisor.
- We do not verify or guarantee the accuracy of a listing's financials, valuation, licenses, or any representation a seller makes. Buyers are solely responsible for their own due diligence, including independent legal, tax, and financial review, before entering into any transaction.
3Eligibility & accounts
- You must be at least 18 years old and able to enter into a binding contract under Philippine law to use PasaloHub PH.
- You must provide accurate, current information when you register and keep it up to date. You are responsible for everything that happens under your account, including activity by anyone you allow to access it.
- You are responsible for keeping your password confidential and for promptly notifying us of any unauthorized use of your account.
- One account per person. Creating multiple accounts to evade a suspension, a report, or a listing rejection is a violation of these Terms.
- A role you select (buyer or seller) determines what parts of the Platform you can use, but does not change your responsibilities under these Terms.
4Identity & business verification
We may ask you to upload a government-issued ID, business registration documents (such as DTI, SEC, or BIR certificates), or other supporting documents to verify your identity or your authority to list a business. A "Verified" badge reflects that we reviewed the documents you submitted — it is not a guarantee of a business's condition, value, or legal standing. We may reject, request resubmission of, or revoke a verification at our discretion, including if we believe a document is fraudulent, altered, or does not belong to you.
5Listings
If you post a listing as a seller, you represent and warrant that:
- You own the business or have the legal authority (e.g., as an authorized partner, officer, or attorney-in-fact) to offer it for sale or transfer;
- All information in the listing — including financial figures, licenses, assets, and any uploaded documents — is accurate and not misleading to the best of your knowledge; and
- The listing does not violate any law, any third party's rights, or these Terms.
We may edit listing metadata for formatting, reject a listing, or remove a live listing at any time, with or without notice, including for policy violations, a credible report, or an unresolved dispute. We do not guarantee that any listing will result in a completed sale, or that any particular number of buyers will see it.
6Fees
PasaloHub PH does not take a commission or success fee when a deal closes. Where we do charge for optional features (for example, a subscription for enhanced listing visibility), the current price will be clearly shown on the Platform before you pay, and we will give reasonable notice before any price change takes effect for existing subscribers.
7Confidential documents & NDAs
Some listings include sensitive supporting documents (for example, detailed financials or ownership records) that are only released to a buyer after the relevant non-disclosure terms presented on the Platform are accepted. If you receive such documents:
- You may use them only to evaluate that specific business opportunity;
- You must not copy, forward, publish, or otherwise disclose them to anyone outside your own evaluation team without the seller's written consent; and
- You remain bound by these confidentiality obligations even after you stop using the Platform or the listing is removed.
A seller who releases documents through this feature does so at their own discretion; PasaloHub PH is not a party to and does not enforce the underlying confidentiality agreement between buyer and seller beyond providing the access-control mechanism itself.
8Prohibited conduct
When using PasaloHub PH, you agree not to:
- Post a listing for a business you do not own or are not authorized to sell, or include false, fraudulent, or materially misleading information;
- Upload a fraudulent, altered, or someone else's identity or business document;
- Harass, threaten, or send unsolicited commercial messages to other users through chat or any other feature;
- Scrape, crawl, or systematically extract data from the Platform, or attempt to access accounts, data, or systems you are not authorized to access;
- Upload malware, or attempt to interfere with, overload, or disrupt the Platform's normal operation;
- Use the Platform for any purpose that is illegal under Philippine law; or
- Circumvent, disable, or interfere with security features, verification checks, or moderation tools.
9Content & intellectual property
You retain ownership of the content you submit (listing descriptions, photos, documents, messages). By posting it on PasaloHub PH, you grant us a non-exclusive, royalty-free, worldwide license to host, store, display, and reproduce that content solely to operate, promote, and improve the Platform (for example, showing your listing in search results). This license ends when you delete the content or your account, except for copies kept briefly for backups, audit, or legal-compliance purposes as described in our Privacy Policy.
The PasaloHub PH name, logo, and platform design are our property or licensed to us, and may not be used without our written permission.
10Reports & moderation
Users can report a listing or another user for suspected fraud, misrepresentation, or a Terms violation. We review reports at our discretion and may take any action we consider appropriate, including removing content, suspending an account, or escalating to law enforcement where warranted. We are not obligated to share the outcome of a report with the person who filed it, beyond a general status update.
11Disclaimers
We do not warrant that: the Platform will be uninterrupted, timely, secure, or error-free; any listing is accurate, complete, or current; any business advertised will perform as represented; or any transaction you pursue through the Platform will be successful, lawful, or free of dispute. You are solely responsible for verifying a business's financial, legal, and operational status — including completing the DTI/SEC/BIR transfer steps that apply to your situation — before you commit to a transaction.
12Limitation of liability
To the fullest extent permitted by Philippine law, PasaloHub PH and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Platform or any transaction between users — even if we were advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or your use of the Platform will not exceed the total fees, if any, you paid us in the twelve (12) months before the claim arose. Nothing in these Terms limits liability that cannot be limited under Philippine law.
13Indemnification
You agree to indemnify and hold PasaloHub PH harmless from any claim, loss, or expense (including reasonable legal fees) arising from: your listing or content; your breach of these Terms; a transaction you enter into with another user; or your violation of any law or a third party's rights.
14Suspension & termination
You may stop using the Platform at any time, and may request deletion of your account from Settings > Account & Security > Delete Account. We aim to process deletion requests within 7 days. We may suspend or terminate your account, remove content, or restrict access — with or without notice — if we reasonably believe you have violated these Terms, posted fraudulent content, created risk or legal exposure for us or other users, or if required by law. Sections that by their nature should survive termination (including Sections 7, 9, 11, 12, 13, and 15) will continue to apply.
15Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms or your use of the Platform that cannot be resolved informally will be submitted to the proper courts of the Philippines, without prejudice to any mandatory arbitration or mediation procedure required by applicable law. Disputes between a buyer and a seller over an actual transaction are between those parties; we encourage good-faith resolution and, where relevant, use of the appropriate government agency (e.g., DTI for consumer complaints).
16Changes to these terms
We may update these Terms as the Platform evolves or as required by law. We will post the revised Terms with a new "Last updated" date, and for material changes we will make reasonable efforts to notify you (for example, by email or an in-app notice). Continuing to use the Platform after a change takes effect means you accept the updated Terms.
